Procure LLC – Terms of Service

By accessing or using the Procure website, software, browser extensions, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Agreement"). If you do not agree to this Agreement, you may not use the Service.1. Definitions
"Company," "Procure," "We," "Us," refers to Procure LLC. "User," "You," refers to any individual or entity using the Service. "User Data" means data or information submitted by You through the Service. "Enhanced Data" means data, analytics, insights, or other information created by Procure through processing, enrichment, transformation, or analysis of User Data.
2. Description of the Service
Procure provides software and related services designed to help organizations identify cost savings, manage inventory, and improve procurement efficiency. Use of the Service is subject to this Agreement.
3. Account Terms
• You must be at least 18 years old to use the Service.
• You are responsible for maintaining the confidentiality of your account
credentials.
• You are responsible for all activity occurring under your account.4. Data Ownership and Use
a. Ownership of User Data
As between You and Procure, You retain all right, title, and interest in and to your raw User Data. Procure does not claim ownership of such raw User Data.
b. License to Procure
You grant Procure a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, store, process, modify, analyze, and display User Data solely to provide the Service and to develop, enhance, and improve Procure's products and technologies.
c. Ownership of Enhanced Data
Procure exclusively owns all right, title, and interest, including all intellectual property rights, in and to Enhanced Data. Enhanced Data does not include personally identifiable information unless expressly provided by You. Procure may use, license, commercialize, or otherwise exploit Enhanced Data for any lawful purpose without obligation to You.
d. No Personal or Sensitive Data
The Service is not intended to collect personal or sensitive data. You agree not to submit such data through the Service.
5. Data Portability and Security
a. Data Portability
Upon written request, Procure will provide You with a copy of your raw User Data in a standard machine-readable format, provided such request is made prior to or within a reasonable time after account termination.
b. Data Security
Procure employs commercially reasonable administrative, technical, and physical safeguards designed to protect User Data. No method of transmission or storage is completely secure.
6. General Conditions
Procure may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
7. Cancellation and Termination
Procure may suspend or terminate access to the Service at any time, with or without notice. You may terminate your account at any time.
8. Intellectual Property
All software, designs, trademarks, and content associated with the Service are the exclusive property of Procure LLC and are protected by applicable laws.
9. Limitation of Liability
To the maximum extent permitted by law, Procure shall not be liable for indirect, incidental, consequential, or special damages arising out of your use of the Service.
10. Indemnification
You agree to indemnify and hold harmless Procure LLC from claims arising from your use of the Service or violation of this Agreement.
11. Dispute Resolution
Any dispute arising under this Agreement shall be resolved through binding arbitration on an individual basis, except where injunctive relief is appropriate.
12. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Arizona, without regard to conflict of law principles.
13. Miscellaneous
If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
